Financing for Orsero to Enter the U.S. Market
TheIMI Corporate & Investment Banking Division of Intesa Sanpaolo, together with a pool of banks, participated in a € 35 million financing facility for Orsero, with the aim of supporting its strategic investment in the Trucco Group.
The transaction supports Orsero’s entry into the U.S. market for the distribution of fresh fruits and vegetables. The company has acquired 45% of the share capital of Trucco Holdings Inc. and has entered into an agreement to acquire, subject to obtaining the necessary approvals from the relevant authorities, 46% of AJ Trucco Inc., a New York-based company. The two entities are collectively referred to as the Trucco Group or Trucco.
The Trucco Group operates in the distribution of fresh fruits and vegetables in the northeastern United States. It has a warehouse of approximately 18,000 square meters in Vineland, New Jersey, and has a direct presence in the Hunts Point Produce Market, a general wholesale market in New York.
The transaction was financed in part through the Orsero Group’s available financial resources and in part through a bank loan. Specifically, the company received 35 million euros from a medium- to long-term credit line dedicated to M&A transactions, previously made available by a pool of European banks, including Intesa Sanpaolo.
Orsero is one of the leaders in Mediterranean Europe for the import and distribution of fresh fruits and vegetables. By joining the Trucco Group, the company strengthens its international growth strategy and positions itself in a strategic market for the fresh produce sector.
The transaction confirms the commitment of the Intesa Sanpaolo Group, led by CEO Carlo Messina, to supporting the international development and growth plans of Italy’s leading companies, thereby bolstering the competitiveness of the Italian production system in global markets.
