Sustainability-Linked Revolving Credit Facility with Gruppo FS

The IMI Corporate & Investment Banking Division of Intesa Sanpaolo acted as Underwriter, Mandated Lead Arranger, Bookrunner and Sustainability Coordinator in the EUR 3.5Bn Sustainability-Linked Revolving Credit Facility, stipulated in pool with other eight banks, with Ferrovie dello Stato Italiane on 19 June 2024. Intesa Sanpaolo also act as Loan Agent.

The credit facility, which is the largest financial transaction ever by the Ferrovie Group, will support investments in green mobility, digital transformation and social inclusion, and will enhance the Group liquidity position and financial flexibility.

The facility includes mechanisms for revising the pricing upon the achievement of targets related to three Key Performance Indicators (KPIs): (i) the percentage of capex aligned with the EU taxonomy; (ii) energy intensity set out as the ratio of energy consumption to the FS Group's operating revenues; and (iii) the increase in the percentage of female employees compared to the total number of employees.
